Welcome to Perduras. These Terms of Use ("Terms") constitute a legally binding agreement between you ("you," "your," or "user") and Egents Innovations ("Egents," "we," "us," or "our") governing your access to and use of the Perduras website, platform, and services (collectively, the "Services").

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Perduras is a digital preservation platform that creates and maintains immersive 360° virtual experiences of physical locations, including educational institutions, for the purpose of preserving their spaces digitally. Our Services include:
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.
Access to virtual experiences requires an active subscription. Subscriptions are billed annually at the rate specified at the time of purchase. By subscribing, you authorize us to charge your designated payment method for the subscription fee.
All prices are displayed in U.S. dollars unless otherwise indicated. We reserve the right to change our prices at any time. Any price changes will not affect existing subscriptions until the next renewal period.
Payments are processed through third-party payment processors. By providing payment information, you represent that you are authorized to use the designated payment method and authorize us to charge your payment method for the total amount of your subscription.
Subscriptions automatically renew at the end of each subscription period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us at info@egentsvrphoto.com.
Subscription fees are generally non-refundable. However, if you are dissatisfied with the Services within the first 30 days of your initial subscription, you may request a full refund by contacting us at info@egentsvrphoto.com. Refunds for renewals are not available.
Joining the waitlist does not obligate you to subscribe or make any payment. Payment is only required when the virtual experience is live and you choose to subscribe.
To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
We reserve the right to suspend or terminate your account at any time for any reason, including if we reasonably believe that you have violated these Terms.

The Services, including all content, features, functionality, software, text, images, graphics, videos, audio, 360° imagery, virtual experiences, and all intellectual property rights therein, are owned by Egents or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial use only. This license does not include any right to:
"Perduras," "Egents," and all related logos, product names, and service names are trademarks of Egents. You may not use these trademarks without our prior written permission.
Your subscription grants you access to the virtual experiences; it does not grant you any ownership rights in the content or intellectual property. All rights not expressly granted herein are reserved by Egents.
If you submit any content to us (such as feedback, suggestions, or ideas about campus locations to capture), you grant us a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media.
The Services may contain links to third-party websites or services that are not owned or controlled by Egents. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Egents shall not be responsible or liable for any damage or loss caused by your use of any such content, goods, or services available on or through any such websites or services.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Virtual experiences are digital representations created at a specific point in time and may not reflect subsequent changes to the physical locations. We do not guarantee the accuracy, completeness, or usefulness of any content in the virtual experiences.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EGENTS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO EGENTS DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
You agree to defend, indemnify, and hold harmless Egents, its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:
You may terminate your account and these Terms at any time by canceling your subscription and discontinuing use of the Services. Cancellation of your subscription does not entitle you to a refund of any fees already paid.
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the State of Iowa, United States, without regard to its conflict of law provisions.
Before filing any formal legal action, you agree to first contact us at info@egentsvrphoto.com and attempt to resolve the dispute informally for at least 30 days.
Any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Iowa, and judgment on the arbitration award may be entered in any court of competent jurisdiction.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Egents regarding the Services and supersede all prior agreements and understandings.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction.
We may provide notices to you via email, posting on the Services, or other reasonable means. You may provide notices to us by email at info@egentsvrphoto.com.
We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on the Services prior to the effective date of the changes. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.
